Bidit Terms of Sale

Where to put this: either as a standalone "Bidit Terms" page linked from the footer, or appended to your existing Terms of Sale as a "Bidit Offers" section. Australian Consumer Law guarantees are not affected by these terms.

  1. About these terms.

These terms govern your use of Bidit's offer functionality on the Zamel’s website at www.zamels.com.au. They apply in addition to Zamel's standard Terms of Sale. If these Bidit Terms and the Zamel’s Terms of Sale conflict in relation to the Bidit offer process, these Bidit Terms prevail to the extent of that inconsistency.

  1. What Bidit is.

Bidit is a transaction service operated by Bidit Pty Ltd (ACN 691 094 372) that allows customers to submit private offers on selected products. Bidit evaluates each offer against rules configured by Zamel’s and returns a response in real time. Bidit is a technology infrastructure for the offer process. Bidit does not sell goods, hold goods, take payment, or act as the merchant of record.

  1. Who you're contracting with.

When you complete payment at checkout for an order placed through Bidit, a contract of sale is formed between you and Zamel’s for the relevant product at the agreed price. Bidit is not a party to that contract. Zamel’s is responsible for: supplying the goods; processing your payment via Zamel’s checkout; honouring Zamel’s standard delivery, returns, refunds, warranty, and customer service policies; and all obligations as the seller under Australian Consumer Law and any other applicable law.

  1. Submitting an offer and forming a contract.

Submitting an offer through Bidit is a request to purchase the relevant product from Zamel’s at the price you offer. If your offer is accepted, or if you accept a counteroffer, Zamel’s will make the accepted Bidit price available to you for checkout for the period shown in the Bidit interface.

The accepted Bidit price does not reserve stock and does not create a completed sale. A binding contract of sale is formed only when you complete checkout and payment through Zamel’s standard checkout process and Zamel’s accepts your order under Zamel’s standard Terms of Sale. Bidit is not a party to that contract.

If you do not complete checkout before the accepted Bidit price expires, the accepted Bidit price may lapse and you may need to submit a new offer if you wish to purchase the product at a Bidit price. Zamel’s may apply reasonable limits on repeat offers, including cooldown periods, provided those limits are displayed or otherwise made clear to you as part of the Bidit offer process.

  1. Pricing.

Zamel’s sets minimum acceptable prices and offer rules per product. These minimum prices are not disclosed to customers. Each accepted price is private and unique to the offer that was accepted. There is no public "Bidit price" for any product, and the fact that one customer's offer was accepted at a particular price does not entitle any other customer to the same price. Zamel’s may set and change the offer rules, minimum acceptable prices and Bidit-enabled products from time to time. Any such changes apply prospectively and do not affect an accepted Bidit price during its stated checkout period, except where the accepted price resulted from an obvious error, technical fault, misconfiguration, unauthorised manipulation, suspected fraud or stock unavailability. Submitting an offer at a previously accepted price does not guarantee acceptance.

  1. Payment.

If your offer is accepted, payment is processed through Zamel's standard checkout. Bidit does not handle, hold, or process payment from customers. Zamel’s payment terms apply.

  1. Cancellations, returns, refunds and exchanges.

Zamel’s standard cancellation, returns, refund, and exchange policy applies to all orders made through Bidit, on the same basis as any other order. For the avoidance of doubt: the price refunded for a returned product purchased through Bidit is the price actually paid (the agreed Bidit price), not the listed price; where Australian Consumer Law guarantees apply (including the right to a refund for a major failure), those rights are not affected by these terms or by the fact that the purchase was made through Bidit; and returns and refunds are processed by Zamel’s, not Bidit. All return enquiries should be directed to Zamel’s customer service.

  1. Eligibility.

Bidit is available only on products that Zamel’s has enabled for offers. The set of Bidit-enabled products may change at any time. The absence of a Bidit prompt on a product means that product is not currently available for offers. Bidit may not be available in all jurisdictions where Zamel’s ships.

  1. Errors.

If a Bidit price is displayed, offered or accepted because of an obvious pricing error, technical fault, misconfiguration, unauthorised manipulation or suspected fraud, Zamel’s may cancel the affected order and refund any amount paid, in accordance with Zamel’s Terms of Sale and applicable law.

  1. Privacy and data.

When you submit an offer, Bidit processes the limited information needed to evaluate it and link it to your order with Zamel’s. This includes the offer details (product, price, time), your interaction with the Bidit prompt, and the resulting order reference. Zamel’s handles your customer data under Zamel’s privacy policy. Bidit handles the offer-related data it processes on Zamel’s behalf in accordance with the Australian Privacy Act 1988 (Cth) and the Bidit Privacy Policy at https://www.bidit.com.au/privacy-policy

  1. Disputes.

Any dispute about an order, including delivery, product condition, returns, refunds, warranty, or consumer guarantee claims, is between you and Zamel’s and is handled under Zamel’s customer service and dispute processes. If you believe you have experienced a technical issue with the Bidit offer process specifically (for example, the Bidit prompt did not appear or did not accept your input), please contact Zamel’s customer service team, who will escalate to Bidit on your behalf.

  1. Changes.

Zamel’s may update these terms at any time. The version in force at the time you submit an offer applies to that offer.

  1. Governing law.

These terms are governed by the laws of South Australia, Australia. Nothing in these terms excludes or limits any non-excludable consumer guarantee under Australian Consumer Law.
